Kitra adopted this Organisation, Management and Control Model (“Model”) pursuant to a resolution of its Board of Directors dated 6 May 2026.

The Model is designed to prevent the offences contemplated by Italian Legislative Decree No. 231/2001 and to promote the principles of legality, fairness, transparency and integrity in the conduct of the Company’s professional activities.

The Company has also adopted a Code of Ethics and appointed an independent Supervisory Body (Organismo di Vigilanza – OdV) responsible for overseeing the effective implementation and observance of the Model.

Whistleblowing reporting channels have also been established in accordance with the applicable legislation.
