On 18 June 2026, we hosted a seminar at our Milan offices in collaboration with White & Case Partners Domenico Fanuele and Alessandro Picchi. The seminar focused on the key changes introduced by the Italian Capital Markets Law (Legge Capitali) and the reform of the Consolidated Financial Act (Testo Unico della Finanza – TUF), as well as their practical implications for companies and market participants.

The session provided an opportunity to examine the main regulatory developments affecting extraordinary transactions involving listed companies, including the new “Full Buyout” mechanism and the “Put Up or Shut Up” regime. The discussion explored their practical impact on companies and market participants, while also addressing implementation challenges and sharing best practices.
